**Last Updated:** November 14, 2025
**Version:** 1.0
Important Notice
**PLEASE READ THIS RISK DISCLOSURE STATEMENT CAREFULLY BEFORE USING THE OPES BORSA APPLICATION OR MAKING ANY TRADING OR INVESTMENT DECISIONS.**
This Risk Disclosure Statement is an integral part of our End User License Agreement (EULA) and Terms & Conditions. By using the Opes Borsa mobile application, you acknowledge that you have read, understood, and accepted the risks described in this document.
1. Comprehensive Risk Warning
1.1 Nature of Financial Risks
**Trading in financial instruments and/or cryptocurrencies involves high risks, including the risk of losing some, or all, of your investment amount, and may not be suitable for all investors.**
You acknowledge and agree that:
- **Capital Loss Risk:** You may lose your entire invested capital. There is no guarantee that you will recover your initial investment, let alone make a profit.
- **Volatility Risk:** Financial markets are inherently volatile and unpredictable. Past performance is not indicative of future results.
- **Suitability:** Trading and investing may not be suitable for all investors, particularly those with limited experience, low risk tolerance, or insufficient financial resources to absorb losses.
- **Personal Responsibility:** All trading and investment decisions are made at your sole discretion and risk. You are solely responsible for evaluating the merits and risks of any investment.
1.2 Extreme Price Volatility
**Prices of financial instruments and/or cryptocurrencies are extremely volatile and may be affected by external factors such as:**
**Financial Events:**
- Economic data releases (GDP, employment, inflation, retail sales, manufacturing indices)
- Central bank monetary policy decisions (interest rate changes, quantitative easing, balance sheet adjustments)
- Corporate earnings reports and profit warnings
- Corporate actions (mergers, acquisitions, bankruptcies, restructurings, dividend announcements)
- Credit rating changes and sovereign debt concerns
- Financial institution failures and systemic banking crises
- Macroeconomic trends (recessions, expansions, stagflation, deflation)
**Regulatory Events:**
- Changes in financial regulation and securities laws
- New compliance requirements imposed by regulatory authorities (FCA, SEC, ESMA, etc.)
- Tax policy changes affecting investments (capital gains tax, transaction taxes, withholding taxes)
- Cryptocurrency regulations and legal status changes
- Accounting standard changes (IFRS, GAAP modifications)
- Insider trading enforcement actions and market abuse investigations
- Sanctions and anti-money laundering (AML) requirements
**Political Events:**
- National and international elections and referendums
- Geopolitical tensions and international conflicts
- Trade wars, tariffs, and protectionist policies
- Sanctions, embargoes, and export controls
- Military conflicts, terrorism, and civil unrest
- Brexit and other regional integration/disintegration events
- Changes in government leadership and policy priorities
- Political instability and regime changes
**Market Sentiment and Psychology:**
- Investor psychology, fear, and greed cycles
- Herd behavior and momentum trading
- Market manipulation and coordinated trading activity
- Speculation and speculative bubbles
- Panic selling and flight to safety
- Media narratives and social media influence
- Technical analysis and chart pattern self-fulfilling prophecies
**Technological Disruptions:**
- Cybersecurity breaches and hacking incidents
- Exchange outages and trading platform failures
- Blockchain forks and protocol changes (for cryptocurrencies)
- High-frequency trading (HFT) and algorithmic trading impact
- Technology company disruptions and innovations
- Data breaches compromising market-sensitive information
- Technological obsolescence of business models
**Liquidity Events:**
- Flash crashes and sudden market dislocations
- Circuit breakers and trading halts triggered by volatility
- Extreme bid-ask spreads during low liquidity periods
- Market gaps (price jumping between levels without trading in between)
- Illiquid markets where you cannot exit positions at desired prices
- Forced liquidations and margin cascades
- End-of-day/month/quarter position squaring by institutional investors
1.3 Margin Trading Risks
**Trading on margin increases financial risks substantially.**
Margin trading involves borrowing funds from a broker to trade financial instruments, using your existing holdings as collateral. This leverage amplifies both potential gains and potential losses.
**Specific Margin Trading Risks:**
**Leverage Amplification:**
- Leverage amplifies both gains and losses. A 10% adverse price movement on a 10x leveraged position results in a 100% loss of your capital.
- Small price fluctuations can result in disproportionately large losses.
- Your losses can exceed your initial margin deposit.
**Losses Exceeding Initial Investment:**
- You can lose more money than you initially invested or deposited as margin.
- You may be required to deposit additional funds to cover losses, even if you no longer hold the position.
- In extreme cases, you may owe your broker more than your account balance (negative balance).
**Margin Calls:**
- If the value of your positions declines, your broker may issue a margin call requiring you to deposit additional capital immediately.
- Failure to meet a margin call may result in forced liquidation of your positions.
- Margin calls can occur without warning, especially during periods of extreme volatility.
- You may be required to deposit funds even outside of market hours, and failure to do so can result in liquidation.
**Forced Liquidation:**
- If your account falls below the minimum margin requirement, your broker may liquidate your positions without notice or consent.
- Forced liquidations typically occur at unfavorable prices, often during periods of high volatility when prices are least favorable.
- You remain liable for any losses incurred, even after forced liquidation.
- Liquidation may occur in a cascading fashion, where selling one position triggers margin calls on others.
**Interest Charges and Financing Costs:**
- Margin trading incurs interest charges on borrowed funds, which accumulate daily.
- Financing costs reduce your overall returns and can turn a small profit into a net loss.
- Interest rates may change without notice, increasing your borrowing costs.
**Suitability Warning:**
- Margin trading is **not suitable** for inexperienced investors, risk-averse individuals, or those who cannot afford to lose their entire investment and potentially more.
- Only trade on margin if you fully understand the risks and have sufficient financial resources to absorb substantial losses.
2. Investment Suitability and Due Diligence
2.1 Self-Assessment Required
**Before deciding to trade in financial instruments or cryptocurrencies, you should be fully informed of the risks and costs associated with trading the financial markets.**
You must conduct a thorough self-assessment to determine whether trading is appropriate for your individual circumstances.
2.2 Understanding the Risks
**Be fully informed of the risks and costs associated with trading the financial markets, including but not limited to:**
**Market Risk (Price Fluctuations):**
- The risk that the value of your investments will decline due to market movements.
- Applies to all asset classes: equities, bonds, commodities, currencies, cryptocurrencies.
- Can result in partial or total loss of invested capital.
**Liquidity Risk (Inability to Exit Positions):**
- The risk that you cannot buy or sell assets quickly at a fair price.
- Low liquidity can result in wide bid-ask spreads and unfavorable execution prices.
- You may be unable to exit losing positions, resulting in larger losses than anticipated.
- Certain assets (small-cap stocks, exotic currencies, some cryptocurrencies) are inherently less liquid.
**Counterparty Risk (Broker or Exchange Default):**
- The risk that your broker, exchange, or custodian fails to meet its obligations.
- Broker bankruptcies can result in loss of funds or inability to access your assets.
- Exchange hacks or insolvencies (particularly in cryptocurrency markets) can result in total loss of deposited funds.
- While many jurisdictions offer investor protection schemes (e.g., FSCS in the UK), coverage is limited and may not fully compensate you.
**Operational Risk (Technical Failures, Errors):**
- The risk of losses due to system failures, technical glitches, or human error.
- Trading platform outages can prevent you from executing trades or managing positions during critical market moments.
- Erroneous trades (fat-finger errors, incorrect order entry) can result in unintended positions and losses.
- Cybersecurity breaches can compromise your account and funds.
**Currency Risk (Foreign Exchange Fluctuations):**
- If you invest in foreign assets, you are exposed to exchange rate fluctuations.
- A favorable investment return in a foreign currency can be eroded or turned into a loss when converted back to your home currency.
- Currency markets are highly volatile and influenced by macroeconomic factors.
**Regulatory Risk (Changes in Laws Affecting Investments):**
- Changes in laws, regulations, or tax policies can adversely affect your investments.
- Governments may impose capital controls, transaction taxes, or restrictions on foreign investment.
- Regulatory changes can render certain investments illegal or unviable (e.g., cryptocurrency bans in certain jurisdictions).
**Systemic Risk (Broader Market or Economic Collapse):**
- The risk of widespread financial system failure affecting multiple markets and asset classes simultaneously.
- Systemic crises (e.g., 2008 financial crisis, COVID-19 pandemic market crash) can result in severe and prolonged losses.
- Diversification may provide limited protection during systemic events, as correlations between assets increase.
**Concentration Risk:**
- Over-concentration in a single asset, sector, or geography increases risk.
- Lack of diversification can result in disproportionate losses if the concentrated holding declines.
**Inflation and Purchasing Power Risk:**
- The risk that inflation erodes the real value of your returns.
- Fixed-income investments are particularly vulnerable to inflation risk.
**Political and Geopolitical Risk:**
- Political instability, war, terrorism, or government actions can adversely affect markets.
- Emerging markets are particularly susceptible to political risk.
2.3 Evaluate Your Circumstances
**Carefully consider your:**
**Investment Objectives:**
- Are you seeking income, capital growth, capital preservation, or speculative gains?
- What is your target return, and is it realistic given the risks you are willing to take?
- Are your objectives short-term (trading) or long-term (investing)?
**Level of Experience:**
- Do you have sufficient knowledge of financial markets, instruments, and trading strategies?
- Have you previously traded or invested, and what were the outcomes?
- Do you understand technical and fundamental analysis?
- Are you familiar with the specific asset class you are trading (equities, forex, cryptocurrencies, derivatives)?
**Risk Appetite (Risk Tolerance):**
- Can you afford to lose your invested capital without affecting your financial well-being or lifestyle?
- How would you react emotionally to a 20%, 50%, or 100% loss of your investment?
- Are you comfortable with high volatility and uncertain outcomes?
- Do you have dependents or financial obligations that would be compromised by losses?
**Time Horizon:**
- Do you have a short-term (days, weeks, months) or long-term (years, decades) investment timeframe?
- Short-term trading generally involves higher risk and requires more active management.
- Long-term investing may allow you to ride out volatility, but is not risk-free.
**Diversification:**
- Is this investment part of a diversified portfolio, or are you overly concentrated in a single asset or asset class?
- Diversification can reduce (but not eliminate) risk by spreading exposure across different assets, sectors, and geographies.
- Over-diversification can dilute returns and increase complexity.
**Liquidity Needs:**
- Do you require access to your capital on short notice for emergencies or other purposes?
- Illiquid investments (e.g., real estate, private equity, some bonds) may not be suitable if you need quick access to funds.
- Selling illiquid assets in a hurry often results in unfavorable prices.
**Financial Resources:**
- Do you have an emergency fund covering 3-6 months of living expenses before investing?
- Are you investing funds that you can afford to lose entirely?
- Do you have other sources of income or assets to fall back on if this investment fails?
2.4 Seek Professional Advice
**Seek professional financial, tax, and legal advice where needed.**
Consider consulting:
**Financial Conduct Authority (FCA) Authorized Financial Adviser:**
- For personalized investment advice tailored to your individual circumstances.
- FCA-authorized advisers are regulated and must act in your best interest.
- They can help you assess suitability, construct portfolios, and manage risk.
- Find an FCA-authorized adviser at: https://register.fca.org.uk/
**Qualified Accountant:**
- Regarding tax implications of trading and investing (capital gains tax, income tax, inheritance tax).
- Tax treatment varies by jurisdiction, investment type, and holding period.
- Improper tax planning can result in unexpected liabilities and penalties.
**Solicitor:**
- Regarding legal and regulatory obligations, particularly for complex investments or cross-border transactions.
- Legal advice may be necessary for estate planning, trusts, or business-related investments.
**Independent Investment Professional:**
- For unbiased opinions on investment strategies and market conditions.
- Independent professionals are not tied to specific products or institutions and can provide objective advice.
**When to Seek Advice:**
- If you are new to trading or investing.
- If you are considering high-risk strategies (leverage, derivatives, cryptocurrencies).
- If you have complex financial circumstances (multiple income sources, significant assets, estate planning needs).
- If you are uncertain about the suitability of an investment.
- If you have experienced significant losses and need to reassess your strategy.

You acknowledge and accept that:
3.2 Data Sources and Delays
**Market data and prices displayed in the App are sourced from third-party data providers and public data sources.**
**Potential Delays:**
- Data may be delayed by **15-20 minutes or more**, depending on the market, exchange, and data provider.
- Some markets impose mandatory data delays for non-professional users (e.g., NYSE, NASDAQ require 15-minute delays for non-subscribers).
- Real-time data availability is subject to subscription tier and data provider agreements.
- Network latency, server processing, and app caching can introduce additional delays.
**Subscription Tier Differences:**
- **Free-tier users** receive delayed data (typically 15-20 minutes or more).
- **Premium subscribers** may receive real-time or near-real-time data, subject to data provider limitations and licensing agreements.
- Upgrading to Premium does not guarantee real-time data for all markets; some markets may still impose delays.
**Data Provider Dependencies:**
- We are dependent on third-party data providers to deliver accurate and timely information.
- If a data provider experiences outages, delays, or errors, this will affect the data displayed in the App.

- You should **NOT** rely on indicative prices for executing trades.
**Actual Execution Prices May Differ:**
- Actual execution prices at exchanges or brokers may differ materially from prices shown in the App.
- Differences can arise due to:
- Bid-ask spreads (the difference between buying and selling prices)
- Market depth and liquidity
- Slippage (price movement between order placement and execution)
- Exchange fees, broker commissions, and other trading costs
- Market volatility and rapid price changes
**Bid-Ask Spreads and Trading Costs Not Reflected:**
- Displayed prices do not account for bid-ask spreads, which can be significant in less liquid markets.
- Transaction costs (brokerage commissions, exchange fees, taxes) are not included in displayed prices.
- The actual cost of entering and exiting a position may be substantially higher than indicated by displayed prices.
**Verify Prices Before Trading:**
- You should **always verify prices with your broker or exchange before executing trades**.
- Use your brokerโs trading platform or the official exchange website to confirm current prices.
- Do not assume that prices in the App are accurate or up-to-date enough for trading decisions.

**Historical Data Accuracy:**
- We do not guarantee that historical data accurately reflects actual market conditions.

**Third-Party Data Provider Continuity:**

- Data providers may discontinue services, change terms, or impose restrictions that affect our ability to deliver data to you.
